By engaging SYN Systems Pty Ltd for any services or accessing our platform, you agree to be bound by these Terms of Service. These terms constitute a legally binding agreement between you and SYN Systems Pty Ltd, governed by the laws of Victoria, Australia.

Section 1

Acceptance of Terms

By engaging SYN Systems Pty Ltd (ABN 41 173 925 272) ("SYN Systems", "we", "us", "our") for any services — including submitting a booking form, signing a service agreement, or subscribing to any plan through our Stripe payment portal — you ("Client", "you") agree to be bound by these Terms of Service.

If you are entering into this agreement on behalf of a business, you represent that you have the authority to bind that business to these terms.

If you do not agree to these terms, you must not engage our services.

Section 2

Services

SYN Systems provides the following categories of service:

  • AI Package Deployment — configuration, training, and deployment of custom AI packages (AI Receptionist, AI Closer, Lead Capture AI, AI Auditor, Content & SEO AI) for your specific business
  • Business Audits — AI Auditor analysis of your operations, marketing, SEO, and digital presence
  • Website Rebuild and Optimisation — design, development, and speed optimisation services
  • SEO and Content — keyword strategy, content creation, and ranking management via Content & SEO AI
  • Account Management — ongoing monitoring, tuning, and reporting for active agent deployments
  • Free Audit Delivery — a no-obligation business assessment delivered within 24 hours of booking

All services are defined in the service agreement or plan description agreed to at the time of purchase. SYN Systems reserves the right to modify service features with 30 days notice.

Section 3

AI Agent Usage Terms

By deploying AI agents on your platform or on behalf of your business, you acknowledge and agree to the following:

Permitted Use:

  • AI agents are to be used solely for legitimate business purposes within the scope of the agreed deployment
  • You are responsible for ensuring your use of AI agents complies with applicable Australian laws, including the Spam Act 2003 and the Privacy Act 1988
  • You must obtain any required consent before using AI agents to contact your customers (e.g., call recording disclosures)

Prohibited Use:

  • You must not use AI agents to engage in deceptive, fraudulent, or misleading conduct
  • You must not use agents to send unsolicited commercial messages in violation of the Spam Act 2003
  • You must not attempt to reverse-engineer, copy, or replicate the underlying AI systems or agent configurations
  • You must not use agents in ways that violate consumer protection laws under the Competition and Consumer Act 2010

SYN Systems reserves the right to suspend services immediately if prohibited use is detected, without liability to the client.

Section 4

Subscriptions and Billing

Subscription services are billed monthly in advance in Australian Dollars (AUD), inclusive of GST (10%), processed securely through Stripe.

Billing Terms:

  • Your first billing cycle begins on the date of subscription activation
  • Subsequent billing cycles renew automatically on the same date each month
  • All prices displayed on our website are in AUD and are inclusive of GST
  • One-time service fees (e.g., website rebuild, custom integration) are invoiced separately
  • Failed payments may result in service suspension after 7 calendar days of non-payment
  • Pricing may be adjusted with 30 days written notice to your registered email address

Stripe processes all payments. SYN Systems does not store credit card or payment details. By subscribing, you authorise Stripe to charge your nominated payment method on a recurring monthly basis.

Section 5

48-Hour Deployment Guarantee

SYN Systems guarantees that AI agents will be fully deployed and operational within 48 hours of a signed service agreement and receipt of all required business information from you.

Conditions:

  • The 48-hour clock begins upon receipt of your completed onboarding form and any required access credentials
  • Deployment may be delayed if required information is not provided within 24 hours of our request
  • Complex custom integrations may be agreed in writing to have an extended deployment window

Remedy for Breach:

If SYN Systems fails to deploy within 48 hours through no fault of the client, your first month of service is provided at no charge. This is the exclusive remedy for delay and does not constitute a right to terminate the agreement.

Section 6

30-Day Money-Back Guarantee

SYN Systems offers a 30-day money-back guarantee for new subscription clients.

Eligibility:

  • The 30-day period begins on the date your agents are deployed
  • You must submit your refund request to billing@synsystems.com.au before the 30-day period expires
  • The refund covers subscription fees paid only — it does not cover one-time project fees (e.g., website rebuild, custom development) where work has already commenced
  • The guarantee applies to first-time subscriptions only; it does not apply to plan upgrades or renewals

Approved refunds are processed through Stripe within 5–10 business days. This guarantee does not affect your rights under the Australian Consumer Law (ACL).

Section 7

Cancellation Policy

You may cancel your subscription at any time with 30 days written notice via your Stripe customer portal or by emailing info@synsystems.com.au.

  • Cancellation takes effect at the end of the 30-day notice period
  • You will not be billed for any period after the effective cancellation date
  • No penalties, exit fees, or lock-in charges apply
  • Upon cancellation, AI agents will be deactivated and your data will be handled in accordance with our Privacy Policy (Section 8 — Data Retention)
  • Project-based deliverables already completed and delivered are not subject to cancellation refunds

SYN Systems may terminate your subscription with 30 days notice, or immediately in the case of material breach of these terms or prohibited use of AI agents.

Section 8

Intellectual Property

Client-Owned IP:

All business-specific content created exclusively for you as part of a service engagement (e.g., custom website design, written content, brand assets) becomes your property upon receipt of full payment for that engagement.

SYN Systems Retained IP:

SYN Systems retains full ownership of:

  • All proprietary AI models, agent frameworks, and training methodologies
  • Platform infrastructure, workflow automation systems, and integration tools
  • Generic methodologies, templates, and processes used across multiple client engagements
  • The SYN Systems brand, name, and all associated trademarks

You are granted a non-exclusive, non-transferable licence to use SYN Systems AI agents during the term of your active subscription only.

Section 9

Confidentiality

Both parties agree to maintain the confidentiality of proprietary information disclosed during the engagement ("Confidential Information"). This obligation survives termination of the agreement for a period of 2 years.

  • SYN Systems will not disclose your business information, customer data, or pricing to any third party without your written consent, except as required by law
  • You agree not to disclose SYN Systems' proprietary methodologies, agent configurations, or pricing to competitors or third parties
  • Both parties may disclose Confidential Information to their respective legal, financial, or professional advisors under equivalent confidentiality obligations

Section 10

Client Obligations

To receive the full benefit of SYN Systems services, you agree to:

  • Provide accurate and complete business information during onboarding and the audit process
  • Grant reasonable access to the systems and tools required to deploy and operate AI agents (e.g., phone system, CRM, website credentials)
  • Respond to SYN Systems' requests for information or approvals within 3 business days to avoid deployment delays
  • Notify SYN Systems promptly of any material changes to your business that may affect agent configuration
  • Ensure your use of AI agents complies with all applicable Australian laws and regulations
  • Not grant access to SYN Systems systems or agent configurations to unauthorised third parties

Section 11

Warranties and Disclaimers

SYN Systems warrants that:

  • Services will be delivered with reasonable care, skill, and in accordance with industry standards
  • We hold all rights, licences, and permissions necessary to deliver the contracted services
  • We comply with applicable Australian laws in the delivery of services

Disclaimer of Guarantees:

SYN Systems does not warrant or guarantee:

  • Specific revenue increases, lead volumes, or ROI outcomes — all case studies and estimates are indicative only
  • Uninterrupted, error-free operation of AI agents — we commit to reasonable uptime but are not liable for brief outages
  • Google search rankings or organic traffic increases — SEO results depend on many factors outside our control
  • That AI agent responses will be 100% accurate at all times — AI systems may occasionally produce unexpected outputs

Nothing in these terms limits any guarantees that cannot be excluded under the Australian Consumer Law.

Section 12

Limitation of Liability

To the maximum extent permitted by Australian law, SYN Systems' total aggregate liability for any claim arising from these terms or the services provided shall not exceed the total fees paid by you to SYN Systems in the three-month period preceding the claim.

SYN Systems is not liable for:

  • Indirect, incidental, special, or consequential damages, including lost profits or lost revenue
  • Data loss caused by third-party infrastructure failures (e.g., AWS, Stripe)
  • Losses arising from your failure to comply with your client obligations (Section 10)
  • Losses arising from AI agent interactions that were outside the agreed scope or configuration
  • Business decisions made by you based on audit findings or agent-generated insights

This limitation does not apply to liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under the Australian Consumer Law.

Section 13

Indemnification

You agree to indemnify, defend, and hold harmless SYN Systems, its officers, employees, and contractors from and against any claims, damages, losses, and expenses (including legal fees) arising out of or relating to:

  • Your violation of these Terms of Service
  • Your use of AI agents in a manner that violates applicable law
  • Your failure to obtain required consents from your customers (e.g., call recording disclosures)
  • Any false or misleading information you provide to SYN Systems

Section 14

Governing Law and Disputes

These Terms of Service are governed by and construed in accordance with the laws of Victoria, Australia. The parties submit to the exclusive jurisdiction of the courts of Victoria.

Dispute Resolution:

Before commencing any legal proceedings, the parties agree to first attempt to resolve any dispute through good-faith negotiation. If a dispute cannot be resolved within 30 days, either party may refer it to mediation through the Victorian Small Business Commissioner or an agreed mediator before initiating court proceedings.

Nothing in this clause prevents either party from seeking urgent injunctive or interlocutory relief from a court of competent jurisdiction.

Section 15

Changes to These Terms

SYN Systems may update these Terms of Service from time to time. We will notify active clients of material changes via email at least 30 days before they take effect. Continued use of services after the effective date constitutes acceptance of the revised terms.

The version date shown at the top of this page reflects the most recent update. Prior versions are available upon request.
